Graeme Philp is a corporate and tax lawyer with extensive experience representing real estate, corporate and high net worth clients. Mr. Philp regularly assists real estate clients in structuring joint ventures, equity and debt financings and management issues. He has represented both publicly traded and private corporate clients in mergers and acquisitions as well as with general corporate and tax advice. He also actively represents high net worth individuals and families with closely held businesses on a variety of issues including ownership succession, charitable planning, the use of family limited partnerships, limited liability companies and trusts and other techniques to transfer wealth at reduced transfer tax costs.

Mr. Philp joined the firm in 2005 and became a Principal in 2007. Prior to returning to Charleston, he practiced law in New York City with Patterson Belknap Webb & Tyler LLP. Mr. Philp is also a Certificated Public Accountant.

Representative Matters:
   •  Representation of closely-held $160 million real estate business in ownership restructuring and succession planning, including buyout of minority shareholders
   •  Representation of investors in the acquisition of a $70 million portfolio of hotel properties
   •  Representation of a strategic corporate buyer in the acquisition of a nationally known internet portal from a financially distressed seller
   •  Representation of a real estate developer with the formation, financing and operation of a $45 million real estate joint venture
   •  Representation of seven automobile dealership groups in a “roll-up” transaction valued in excess of $280 million
   •  Representation of a business owner in establishing a $25 million charitable foundation
   •  Representation of owner in the sale of a controlling stake in his company for $17 million
   •  Representation of software company in negotiating state income and property tax incentives, with associated tax benefits valued in excess of $2 million
